NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES.  A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. HOW TO ENTER: The Ambassadors of Rock® Sweepstakes (“Sweepstakes”) begins at 12:00 noon Eastern Time (“ET”) (5:00 p.m. Greenwich Mean Time [“GMT”]) on February 8, 2010 and ends at 11:59 p.m. ET (4:59 p.m. GMT) on September 10, 2010 (“Sweepstakes Period”). There are three ways to enter: 1) Automatic All Access Entry: If you meet the eligibility requirements of these Official Rules, then you will automatically receive one (1) Sweepstakes entry when you visit www.hardrock.com (the “website”) and become a new member of the Hard Rock All Access program during the Sweepstakes Period, or 2) Automatic Pin Entry: If you meet the eligibility requirements of these official rules, then you will automatically receive one (1) Sweepstakes entry when you visit the website and become a new member of the Hard Rock Cafe Pin Collectors' Club (“HRCPCC”) during the Sweepstakes Period, or 3) Online Entry: Visit www.hardrock.com, fill in the online entry form and submit it in accordance with the on-screen directions during the Sweepstakes Period.  There is a limit of one (1) entry per person and per email address per day using the Online Entry method of entry.  Each entrant may use only one (1) email address to participate.  Any entry containing an invalid email address will be disqualified.  Membership fees apply if you become a new member of the Hard Rock All Access program or HRCPCC (each a “Membership Program”).  The automatic methods of entry described above are collectively referred to herein as an “Automatic Entry”.  There is a limit of one (1) Automatic Entry per person per Membership Program throughout the Sweepstakes Period.  Any use of automated, robotic, macro, programmed or similar quick-entry programs is prohibited.  Attempts to exceed the maximum number of entries permitted or to use more than one (1) email address may result in disqualification.  Entries must be received by 11:59 p.m. ET (4:59 p.m. GMT) on September 10, 2010.  Neither Hard Rock Cafe International (USA), Inc. (“Sponsor”) nor RPMC, LLC (“Sweepstakes Administrator”) will verify receipt of entries.  Proof of entry does not constitute proof of receipt.  All entries submitted become the sole property of Sponsor and will not be returned.
   
2. BONUS ENTRIES:  Once you submit your entry form on the website, you will be given the opportunity to increase your total number of entries in the Sweepstakes by submitting the valid email address(es) of friend(s) or family member(s) who are 18 years of age or over that have not previously been submitted by you or any other entrant in the Sweepstakes  (each a “Qualified Email Address”).  For each unique Qualified Email Address you submit during the Sweepstakes Period in accordance with the website instructions you will receive one (1) additional entry (a “Bonus Entry”), up to a maximum of two (2) Bonus Entries per day.  By entering friends’ or family members’ email addresses, you represent that you have the consent of that person to submit his/her personal information, and that he/she is 18 years of age or older.  No more than one (1) email address may be submitted for each friend/family member and Bonus Entries will only be awarded for valid, unique email addresses that have not previously been submitted by you or any other entrant in the Sweepstakes.  Friends and family members are not automatically entered into the Sweepstakes as a result of you providing such email addresses.  The emailaddresses you submit will be used solely to send those individuals an email stating that you thought that they would be interested in this Sweepstakes, and inviting them to enter.  If they wish to enter, they must return to the website and enter as described above.  Their personal information will not be retained or used by Sponsor for any other purpose without their consent.
   
3. PRIVACY: Entry in the Sweepstakes constitutes consent to transfer personal information to the United States for purposes of administration of the Sweepstakes by Sponsor and its authorized agents, and for such other purposes to which entrant may consent, or as otherwise described in these Official Rules.  All information submitted to the Sponsor as part of this Sweepstakes will be treated in accordance with the Sponsor’s privacy policy, available at http://www.hardrock.com.
   
4. ELIGIBILITY:  To enter the Sweepstakes you must be 18 years of age or older at the time of entry.  In order to be eligible for any prize where you must travel outside of your country of residence, you must possess a valid passport and be eligible to submit a visa application, if required for the country in which the Destination City is located, at the time the prize is awarded.  You will be disqualified if you do not have a valid passport at the time the prize is awarded.  Sweepstakes is void in Puerto Rico and the province of Quebec, Canada and where restricted or prohibited by law.  Employees of Sponsor, Sweepstakes Administrator and their respective affiliated companies, parents, subsidiaries, franchisees, and advertising and promotion agencies (collectively, “Sweepstakes Entities”), and members of the immediate families (parents, children, siblings and spouse, regardless of where they reside) and households (whether related or not) of such employees, are ineligible to participate in this Sweepstakes.
   
5. DRAWING AND NOTIFICATION: The Sweepstakes Administrator, an independent judging organization whose decisions are final and binding in all matters relating to this Sweepstakes, will select potential winners of the prizes described herein by conducting a series of random drawings on or about the drawing dates below (“Drawing Schedule”).  Odds of winning a prize depend on the number of eligible entries received from both Automatic Entries and Online Entries.  Non-winning eligible entries from each Entry Period will carry forward to each Entry Period thereafter and be eligible for prizes awarded during such subsequent Entry Periods.  Potential winners will be notified by telephone only.  If the Sweepstakes Administrator is not able to engage in a live, personal telephone conversation with a potential winner (i.e. personally contact a potential winner) within twenty-four (24) hours from the first notification attempt, then such person will be disqualified and an alternate winner will be selected via a random drawing conducted by the Sweepstakes Administrator.  Any message left by the Sweepstakes Administrator, either by voicemail answering service, or otherwise, will be considered a notification attempt by the Sweepstakes Administrator and shall not be deemed a live, personal telephone conversation. For a resident of Canada to be declared a winner, he/she must also correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing question to be administered by the Sweepstakes Administrator, by phone, email or mail, within the time specified by the Sweepstakes Administrator.  In the event that the potential winner does not successfully complete the skill-testing question within the time specified by the Sweepstakes Administrator, then he/she will be disqualified and an alternate winner will be selected.  All notification requirements will be strictly enforced.

6. PRIZES: One (1) Grand Prize: The Grand Prize consists of four (4) trips for two (2) to attend four (4) Hard Rock Ambassadors of Rock®  concerts (“Concert(s)”) - one (1) in London, England plus three (3) additional destinations, each to be determined by Sponsor in its sole discretion (each, a “Destination City”).  London, England: The trip to London consists of: Round-trip coach air transportation for two (2) from the major international airport gateway nearest the Grand Prize winner’s residence to London; three (3) nights first-class hotel accommodations (double occupancy); sight-seeing tour for two (2) provided by the Red Double Decker Bus Tour of London; admission for two (2) to the London Hard Rock Cafe party; admission for two (2) to the Concert in London; dinner one evening in the form of a Hard Rock Cafe gift card worth US$100 (or equivalent value in local currency); and US$300.00 (for winner only) to cover round-trip ground transportation between airport and hotel in London.  Due to the proximity of the Concert, no transportation will be provided between the hotel and the Concert.  Other Locations: For a current list of other Destination Cities, please visit the website.   Such locations are subject to change, at Sponsor’s sole discretion.  Each trip to the other three (3) Destination Cities will include round-trip coach air transportation for two (2) from the major international airport gateway nearest the Grand Prize winner’s residence to each of the three (3) Destination Cities and the following components in each Destination City:  four (4) nights first-class hotel accommodations (double occupancy); admission for two (2) to the Concert; dinner one evening in the form of a Hard Rock Cafe gift card worth US$100 (or equivalent value in local currency); sight-seeing tour of the city for two (2); US$500.00 spending money for each Destination City, for a total of US$1,500.00 spending money (for winner only); and round-trip ground transportation between airport and hotel.  The winner of this Grand Prize and his/her travel companion must travel on June 25 – June 28, 2010 for the London trip or on such other dates as may be specified by Sponsor.  Additionally, the Grand Prize winner and his/her travel companion must travel on dates to be determined by Sponsor at a later time in 2010 for the trips to the three (3) other Destination Cities.  If winner cannot travel on such dates, he/she may be disqualified and an alternate winner may be selected, if time permits. The winner may have a different travel companion for each trip but winner and each travel companion must always travel on the same itinerary.  If the winner is a legal resident of the United States (“U.S. Winner”), then such winner will also be awarded a check in the amount of US$2,741.82 for the London prize trip and US$3,116.56 for each of the three (3) Destination City prize trips completed by the winner to assist such winner with his/her payment of any taxes due as a result of winning such prize trip (“U.S. Tax Assistance Award”).  In the event a U.S. Winner is awarded this prize, the Approximate Retail Value (“ARV“) for the London prize trip and for each Destination City prize trip (including the U.S. Tax Assistance Awards for each) will be US$9,139.42 and  US$10,388.56 respectively.  In the event a U.S. Winner is awarded this prize and completes all four of the trips, then the ARV for this entire prize (including the U.S. Tax Assistance Award) will be US$40,305.10.  Actual amount may vary depending on point of departure and time of booking.  Winner is not entitled to the difference, if any, between the stated ARV and actual prize value.  In the event the U.S. Winner is unable to complete all four trips, he/she will only receive the U.S. Tax Assistance Award for the number of trips actually completed and the corresponding ARV of the Grand Prize will be reduced.  If the winner is not a legal resident of the United States (i.e. is an “International Winner”) and Sponsor is required to withhold U.S. federal withholding tax from the prize (and pay such amount directly to the United States Internal Revenue Service), then Sponsor will provide an additional tax payment assistance award (“International Tax Assistance Award”) with respect to such International Winner for use in payment of his/her U.S. federal withholding tax.  The amount of such International Tax Assistance Award for this Grand Prize will be equal to that amount required to be withheld by Sponsor under U.S. federal tax laws and regulations, up to a maximum of US$2,741.82 for the London prize trip and US$3,116.56 for each Destination City prize trip completed by the winner.  In the event an International Winner is awarded this prize, the ARV for the London prize trip and for each Destination City prize trip (including the maximum International Tax Assistance Awards for each) will be US$9,139.42 and $10,388.56 respectively. In the event an International Winner is awarded this prize and completes all four of the trips, then the ARV for this entire prize (including the maximum International Tax Assistance Award) will be US$40,305.10.  Actual amount may vary depending on point of departure and time of booking.  Winner is not entitled to the difference, if any, between the stated ARV and actual prize value.  In the event the International Winner is unable to complete all four trips, the amount of the International Tax Assistance Award will be reduced based on the number of trips actually completed and the corresponding ARV of the Grand Prize will be reduced. Notwithstanding any U.S. Tax Assistance Award or International Tax Assistance Award, the winner shall be solely responsible for the payment of any taxes due as a result of winning this prize.

One (1) London Trip Prize: A trip for two (2) to attend a Concert in London, England.  Trip consists of: Round-trip coach air transportation for two (2) from the major international airport gateway nearest the First Prize winner’s residence to London; three (3) nights first-class hotel accommodations (double occupancy); sight-seeing tour for two (2) provided by the Red Double Decker Bus Tour of London; admission for two (2) to the London Hard Rock Cafe party; admission for two (2) to the Concert in London; dinner one evening in the form of a Hard Rock Cafe gift card worth US$100 (or equivalent value in local currency); and US$300.00 (for winner only) to cover round-trip ground transportation between airport and hotel in London.  Due to the proximity of the Concert, no transportation will be provided between the hotel and the Concert. In the event an International Winner is awarded the prize and Sponsor is required to withhold U.S. federal withholding tax from the prize (and pay such amount directly to the United States Internal Revenue Service), then Sponsor will provide an International Tax Assistance Award with respect to such International Winner for use in payment of his/her U.S. federal withholding tax.  The amount of such International Tax Assistance Award for this First Prize will be equal to that amount required to be withheld by Sponsor under U.S. federal tax laws and regulations, up to a maximum of US$2,741.82.  In the event an International Winner is awarded this prize and the full amount of the International Tax Assistance Award is awarded, then the ARV for this prize for such International Winner will be US$9,139.42.  Actual amount may vary depending on point of departure and time of booking.  Winner is not entitled to the difference, if any, between the stated ARV and actual prize value.  In the event the International Winner is unable to complete the prize trip, no International Tax Assistance Award will be awarded. Notwithstanding any International Tax Assistance Award, the winner shall be solely responsible for the payment of any taxes due as a result of winning this prize.

Concert Prize #1: Prize consists of one (1) trip for two (2) to attend one (1) Hard Rock Ambassadors of Rock® concert at a Destination City.  Sponsor will advise the winner of the Destination Cities available at the time of winner notification.  The trip will include round-trip coach air transportation for two (2) from the major international airport gateway nearest the winner’s residence to the Destination City and the following components in such Destination City:  four (4) nights first-class hotel accommodations (double occupancy); admission for two (2) to the Concert; sight-seeing tour of the city for two (2); dinner one evening in the form of a Hard Rock Cafe gift card worth US$100 (or equivalent value in local currency); US$500.00 spending money (for winner only); and round-trip ground transportation between airport and hotel.  The winner of Concert Prize #1 and his/her travel companion must travel on dates to be determined by Sponsor and on the same itinerary.   If a winner cannot travel on such dates, he/she may be disqualified and an alternate winner may be selected, if time permits.  In the event a U.S. Winner is awarded the prize, then the winner will not be entitled to receive any U.S. Tax Assistance Award.  In that event the ARV for Concert Prize #1 will be US$7,272.00.  Actual amount may vary depending on point of departure and time of booking.  Winner is not entitled to the difference, if any, between the stated ARV and actual prize value.  In the event an International Winner is awarded Concert Prize #1 and Sponsor is required to withhold U.S. federal withholding tax from such Concert Prize awarded (and pay such amount directly to the United States Internal Revenue Service), then Sponsor will provide an International Tax Assistance Award with respect to such International Winner(s) for use in payment of their U.S. federal withholding tax.  The amount of such International Tax Assistance Award for the Concert Prize#1 will be equal to that amount required to be withheld by Sponsor under U.S. federal tax laws and regulations, up to a maximum of US$3,116.56.  In the event an International Winner is awarded a Concert Prize and the full amount of the International Tax Assistance Award is awarded in each case (if applicable), then the ARV for Concert Prize #1 for such International Winner will be US$10,388.56.  Actual amount may vary depending on point of departure and time of booking.  Winner is not entitled to the difference, if any, between the stated ARV and actual prize value.  In the event the International Winner is unable to complete the prize trip, no International Tax Assistance Award will be awarded. Notwithstanding any International Tax Assistance Award, winners shall be solely responsible for the payment of any taxes due as a result of winning this prize.

Concert Prize #2: Prize consists of two (2) trips for two (2) to attend one (1) Hard Rock Ambassadors of Rock® concert at two (2) different Destination Cities.  Sponsor will advise the winner of the Destination Cities available at the time of winner notification. Each trip will include round-trip coach air transportation for two (2) from the major international airport gateway nearest the winner’s residence to the Destination City and the following components in such Destination City:  four (4) nights first-class hotel accommodations (double occupancy); admission for two (2) to the Concert; sight-seeing tour of the city for two (2); dinner one evening in the form of a Hard Rock Cafe gift card worth US$100 (or equivalent value in local currency); US$500.00 spending money (for winner only); and round-trip ground transportation between airport and hotel.  The winner of Concert Prize #2 may have a different travel companion for each trip but both winner and each travel companion must travel on dates to be determined by Sponsor and on the same itinerary.   If a winner cannot travel on such dates, he/she may be disqualified and an alternate winner may be selected, if time permits.  In the event a U.S. Winner is awarded the prize, then such winner will not be entitled to receive any U.S. Tax Assistance Award.  In that event the ARV for Concert Prize #2 will be US$14,544.00.  Actual amount may vary depending on point of departure and time of booking.  Winner is not entitled to the difference, if any, between the stated ARV and actual prize value.  In the event an International Winner is awarded Concert Prize #2 and Sponsor is required to withhold U.S. federal withholding tax from such Concert Prize awarded (and pay such amount directly to the United States Internal Revenue Service), then Sponsor will provide an International Tax Assistance Award with respect to such International Winner(s) for use in payment of their U.S. federal withholding tax.  The amount of such International Tax Assistance Award for Concert Prize #2 will be equal to that amount required to be withheld by Sponsor under U.S. federal tax laws and regulations, up to a maximum of US$6,233.12.  In the event an International Winner is awarded Concert Prize #2 and the full amount of the International Tax Assistance Award is awarded in such case (if applicable), then the ARV for Concert Prize #2 for such International Winner will be US$20,777.12. Actual amount may vary depending on point of departure and time of booking.  Winner is not entitled to the difference, if any, between the stated ARV and actual prize value.  In the event the International Winner is unable to complete one or both prize trips, no International Tax Assistance Award will be awarded. Notwithstanding any International Tax Assistance Award, winners shall be solely responsible for the payment of any taxes due as a result of winning this prize.

The maximum total approximate retail value of all prizes (including all Tax Assistance Awards) is US$80,610.20.    All prize values are in U.S. dollars.
   
7. GENERAL PRIZE RESTRICTIONS/CONDITIONS: Each winner and his/her travel companion  must possess a valid passport and any other mandatory identification or travel documents required in order to travel outside their country of residence, including any required visas.  Sponsor will not be responsible if the winner or his/her guest is denied entry into the country where a Concert will be held, or re-entry into the country of origin, in which case any additional expenses incurred will be the sole responsibility of the winner or his/her guest.  Scheduled activities are subject to change.  Each winner must arrange travel with Sponsor's agent as soon as possible but no less than fourteen (14) calendar days in advance of the departure date specified by Sponsor.  Travel is subject to availability and blackout periods.   The actual value of each prize may vary (including the amount of the Tax Assistance Award, if applicable) depending upon the location of the winner, fares at the time of travel and the value of services rendered and products provided at the time of the events.  Therefore, the value of any prize awarded may be lower or higher at the time it is fulfilled.  Any difference between the actual value and the ARV will not be awarded.  All meals, taxes, gratuities, insurance, incidentals (including mini-bar and entertainment expenses), phone charges, transportation between the airport and winner’s residence, and other expenses not specifically identified in these Official Rules are the sole responsibility of each winner.  Each winner must comply with all hotel check-in requirements, including but not limited to the presentation of a major credit card.  All elements of the trip are subject to availability.  In the event that any element is not available, then all other trip elements will still be offered.  No transfer, substitution, or cash equivalent for prizes is allowed, except at Sponsor’s sole discretion.  Sponsor reserves the right to substitute a prize, or prize element, of equal or greater value (whether in cash or otherwise) if a prize, or prize element, cannot be awarded as described for any reason. There is a limit of one prize per person/family/household.  Each potential winner will be required to execute and return an Affidavit of Eligibility, which includes a Liability Release and a Publicity Release (except where prohibited) (collectively, “Affidavit/Release”) or, if the winner is a resident of Canada, a Declaration of Compliance, which includes a Liability Release and a Publicity Release (except where prohibited) (collectively, “Declaration/Release”).  The travel companion of each potential winner (if any) must be 18 years of age or older and must also sign and return a Liability and Publicity Release.  If the prize winner or his/her travel companion is deemed a minor in his/her state, province, territory or country of residence, then the parent/legal guardian of such minor must also sign any documents required herein.  The Affidavit/Release or Declaration/Release must be returned by the deadline established in such documents.  If a potential winner fails to return such documents within that time, or if an entrant is found to be ineligible, or if he/she does not comply with the Official Rules, then the potential winner will be disqualified and an alternate winner will be selected via a random drawing by Sweepstakes Administrator, provided sufficient time remains prior to each trip (as determined by Sponsor in its sole discretion).  If prizes or prize notifications are returned as undeliverable, this will result in disqualification and an alternate winner will be selected via a random drawing by Sweepstakes Administrator, if time permits.  All federal, state, provincial, local and other tax liabilities, including but not limited to sales and use taxes, goods and services taxes, excise taxes, income and U.S. withholding taxes, customs, duties, fees and like amounts in connection with a winner’s award, acceptance or use of a prize arising from this Sweepstakes will be the sole responsibility of each winner.  Except where prohibited by law, each winner’s entry and acceptance of the prize constitutes permission for the Sweepstakes Entities to use said winner’s and his/her travel companion’s (if any) name, photograph, likeness, statements, biographical information, voice, and city and state/province address on a worldwide basis, and in all forms of media, in perpetuity, without further compensation.
   
8. SWEEPSTAKES CONDITIONS: This Sweepstakes is subject to all applicable federal, state, and local laws of the United States only and is not subject to any laws outside of the United States.  Except where prohibited, all issues and questions concerning the construction, validity, interpretation or enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.  By participating, entrants agree to be bound by these Official Rules and the decisions of the Sponsor and Sweepstakes Administrator and waive any right to claim ambiguity in the Sweepstakes or these Official Rules.  Winners and entrants also agree to release, discharge, indemnify and hold harmless the Sweepstakes Entities and each of their respective officers, directors, employees, representatives and agents from and against any claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from a) acceptance, possession, misuse or use of any prize or participation in any Sweepstakes-related activity or participation in this Sweepstakes, b) any malfunction of the entry website, or c) any error in the collection or retention of entry information.
   
9. LIMITATIONS OF LIABILITY: Sweepstakes Entities will have no liability whatsoever for, and shall be held harmless by entrants against, any liability for any injuries, losses or damages of any kind to persons, including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Sweepstakes.  Sweepstakes Entities are not responsible for lost, late, misdirected, undeliverable or incomplete Online or Automatic entries due to system errors or failures, or faulty transmissions or other telecommunications malfunctions and/or Online or Automatic entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, or failed, incomplete or garbled computer or telephone transmissions, typographical or system errors or failures, or faulty transmissions, or for any other problems or technical malfunctions.  Sweepstakes Entities are also not responsible for any malfunction of the entry website or error in the collection, processing or retention of entry information.  Sponsor may prohibit an entrant from participating in the Sweepstakes or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Sponsor representatives. If for any reason this Sweepstakes is not capable of running as planned, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud or any other causes beyond the reasonable control of Sponsor which corrupt in any way or affect the administration, security, fairness, integrity, fulfillment or proper conduct of the Sweepstakes, then Sponsor reserves the right at its sole discretion and without advance notice to cancel, terminate, modify or suspend the Sweepstakes and select a winner by randomly drawing from those eligible entries received up to the cancellation/termination/suspension date.  CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
